Terms Private Basic

Important:
These Terms are a contractual draft and should be
legally reviewed in Switzerland before publication.
These General Terms and Conditions (the
“Terms”) apply exclusively to the Private Basic membership and the related
services provided by PG Health Management GmbH, Brunaustrasse 24a, 8345
Adetswil, Switzerland (“PGHM” or the “Provider”).
By entering into the membership or using
the related services, the customer (the “Member”) accepts these Terms. Any
individual agreement prevails where recorded in writing or text form.
The Private Basic membership includes, in
accordance with the current offer description, in particular:

impulses
·
·
one virtual health check-in per
billing month
·
personal guidance on exercise,
nutrition and everyday life
The specific scope of services is further
determined by the website, PGHM Active App, individual quotation, booking or
contract confirmation and the planning agreed with the customer advisor.
The specific planning, prioritisation and
scheduling of available services is discussed with the responsible customer
advisor. Implementation is subject to professional assessment, availability and
the Member’s personal circumstances.
PGHM provides preventive, health-promoting
and coordinating services. The services do not replace a medical diagnosis,
medical examination, psychotherapy or medically required treatment.
The monthly credit points included may be
used for the virtual services specified in the offer description.
Unused credit points, appointments or
comparable service credits expire at the end of the relevant billing month or
the expressly stated service period.
Unused credits cannot be carried forward,
paid out, offset against other services, transferred to another person or
redeemed after termination.
The expiry of unused credits does not
affect the membership fees owed or the minimum contract term. The Member is
responsible for planning and using services and appointments in time.
The contract is formed when the Member
makes a binding booking, accepts a quotation or contract confirmation, pays the
first amount due or begins using the membership with PGHM’s consent.
The contract start date is stated in the
booking confirmation, quotation, invoice or other written contract
confirmation.
The membership is concluded for a binding
minimum term of 3 months.
Ordinary early termination is excluded
during the minimum term. Membership fees for the entire minimum term remain
payable regardless of whether all services, credits, appointments, devices or
digital offers are used.
Monthly invoicing is merely a payment
arrangement and does not alter the binding minimum contract term.
After the minimum term of 3 months, the
membership automatically renews for successive periods of one month unless
terminated in due time.
Each subsequent renewal period lasts one
month. The applicable monthly membership fee is due for each renewal month.
The membership may first be terminated at
the end of the minimum term and thereafter at the end of each monthly renewal
period.
Notice of termination must be received by
PGHM with 30 calendar days’ notice. The date of receipt, not the date of
sending, is decisive.
If notice is not received in time, the
membership renews for a further month.
Termination must be submitted in text form
by email to contact@pg-hm.com or in writing to PG Health Management GmbH,
Brunaustrasse 24a, 8345 Adetswil, Switzerland.
PGHM generally confirms receipt by email.
The Member is responsible for retaining the confirmation and following up if no
confirmation is received.
The current regular membership price for
Private Basic is CHF 99.– per month, including statutory VAT where applicable,
unless otherwise agreed in the booking or contract confirmation.
PGHM may change prices for future renewal
periods. Material price changes are communicated before they take effect.
Billing periods already commenced remain unaffected.
A Member who does not accept an announced
price change may terminate the membership subject to the ordinary notice
period.
The membership is invoiced monthly in
advance.
The invoice is generally issued ten
calendar days before the start of the respective billing month and is payable
within ten calendar days of the invoice date.
Where the first invoice cannot be issued
ten days in advance due to a short-notice contract start, it is issued upon
contract formation and is payable within the period shown on the invoice.
The Member is responsible for ensuring that
stored payment details are current, payment methods are valid and sufficient
funds are available. A failed payment does not cancel the contract or payment
obligation.
If an invoice is not paid by the due date,
the Member is in default after expiry of the payment period. PGHM may send a
first payment reminder or notice without a reminder fee.
A reminder fee of CHF 20.– is charged for
the second reminder. A further reminder fee of CHF 20.– is charged for the
third reminder.
If the claim and accrued fees remain unpaid
after the third reminder, PGHM may refer the matter to a debt collection agency
and take further legally permissible steps. Statutory default interest and
permissible collection or enforcement costs remain reserved.
In the event of late payment, PGHM may
suspend App access, appointments, evaluations, consultations or other services.
Suspension does not terminate the contract, interrupt the contract term or
release the Member from payment obligations.
This membership does not ordinarily include
a wristband or other technical device. Where a device is purchased separately
or exceptionally agreed as a service in writing, the relevant order terms and
statutory warranty rights apply.
Where physical products are ordered
separately, stated delivery times are non-binding unless a binding delivery
date has been confirmed in writing. Delays beyond PGHM’s reasonable control do
not automatically entitle the Member to terminate the contract or claim
damages.
Virtual and in-person appointments are
scheduled subject to availability and in consultation with PGHM, the customer
advisor or the responsible professional.
There is no entitlement to a particular
weekday, time, communication channel or professional unless agreed in writing.
This membership does not include regular
in-person appointments unless separately booked or agreed in writing.
Appointments must be cancelled or
rescheduled at least 24 hours before they begin unless the appointment
confirmation states a different period. In case of later cancellation,
non-attendance or material delay, the appointment may be treated as used and the
corresponding credit may expire.
In such a case there is no entitlement to a
free replacement appointment.
PGHM generally handles ordinary customer
enquiries relating to the Private Basic membership within 23 business days
after receipt through the designated contact channel.
The period refers to the first substantive
processing or response and not necessarily to final resolution. It starts once
all information required for handling the enquiry is available.
The stated response period does not apply
to medical emergencies, acute health complaints or situations requiring
immediate medical assessment. PGHM does not operate a medical emergency or
on-call service. The appropriate emergency services must be contacted in
emergencies.
Delays may arise in particular due to
incomplete information, exceptional workload, holidays, illness, technical
disruption, third-party clarification or force majeure.
Membership services, access credentials,
content, credit points, appointments, plans and evaluations are personal and
non-transferable.
Login details and individual content may
not be shared with third parties without PGHM’s consent. The Member must
protect access credentials and report suspected misuse immediately.
In the event of misuse, PGHM may suspend
access, restrict services or terminate the contract for cause. Amounts already
due remain payable.
The Member must provide complete and
truthful information relevant to support, including complaints, injuries,
limitations, medical recommendations, treatment, relevant medication, pregnancy
and changes in health status.
The Member is responsible for implementing
only recommendations and exercises appropriate to their health. Activities must
be stopped and medical advice sought where required in case of pain, dizziness,
shortness of breath, discomfort, unusual reactions or deterioration.
PGHM may adjust content, processes, digital
functions, systems, devices, professionals or individual service components
provided that the essential purpose of the membership is not materially
impaired.
Adjustments may be required for technical,
organisational, staffing, professional, legal, security or data protection
reasons. Material changes are communicated in due time.
A suspension is possible only by prior
written agreement. In the case of a prolonged, medically confirmed inability to
train or receive support, PGHM may review a request for suspension, extension
or another individual solution.
There is no automatic entitlement to
suspension, extension, refund, waiver of outstanding amounts or early
termination. Discretionary solutions do not create a precedent.
The services support prevention, health
promotion, exercise, everyday structure and personal guidance. They do not
replace a medical examination, diagnosis, therapy, psychotherapy or medically
required physiotherapy.
Participation and independent
implementation are at the Member’s own responsibility. To the extent legally
permissible, PGHM is not liable for harm resulting from incomplete or incorrect
information, concealed complaints, improper implementation, disregard of
warning signs, action contrary to medical advice, unauthorised plan changes or
overexertion.
PGHM does not guarantee a particular health
result, weight change, performance improvement, freedom from symptoms or
achievement of a specific goal. Mandatory statutory liability provisions remain
reserved.
PGHM endeavours to provide uninterrupted
availability of the App and digital systems but cannot guarantee continuous or
error-free operation.
Temporary interruptions due to maintenance,
disruption, updates, third-party providers, internet or server outages,
security measures or force majeure generally do not create an entitlement to
refund, reduction, extension or early termination unless the essential benefit
is materially and permanently impaired.
PGHM processes personal data in accordance
with applicable data protection law. The membership may involve processing
sensitive personal data, including health, activity, sleep, exertion, recovery,
body measurement and training data as well as information about complaints and
consultation content.
Processing is limited to what is required
for delivery, support, evaluation, coordination and development of the agreed
services. Where disclosure to external professionals is intended for health
coordination, it takes place only on an appropriate legal basis and, where
required, with the Member’s consent.

external Apps, devices, platforms, payment providers or technology partners.
All plans, videos, texts, graphics,
templates, questionnaires, analyses, evaluations, concepts, App content and
training materials provided by PGHM are protected and intended solely for the
Member’s personal use.
They may not be reproduced, published,
sold, commercially used, made publicly available or disclosed to third parties
without prior written consent.
The membership is personal and
non-transferable. Shared use or transfer of credits, appointments, logins,
plans, consultations or other services is excluded unless PGHM gives prior
written consent.
A device that has already become the
Member’s property is unaffected.
PGHM may terminate the contract immediately
for cause, including serious or repeated misuse, sharing personal access,
repeated late payment, intentionally false information, unacceptable conduct,
endangering others, misuse of systems or a serious breach of these Terms.
Services already provided and outstanding
claims remain payable. No refund is generally made where immediate termination
was caused by the Member. Mandatory legal rights remain reserved.
PGHM may amend these Terms for future
renewal periods. Material changes are communicated before the next affected
period begins.
A Member who does not accept a material
change may terminate the membership subject to the ordinary notice period at
the end of the current period.
If any provision is wholly or partly
invalid or unenforceable, the remaining provisions remain effective. It is
replaced by a legally permissible provision that most closely reflects its
purpose.
Individual agreements prevail where
recorded in writing or text form.
Swiss law applies. Disputes are subject to
the courts competent under Swiss law.
Where a jurisdiction agreement is legally
permissible, the registered office of PG Health Management GmbH is the place of
jurisdiction. Mandatory jurisdictions, particularly those protecting consumers,
remain reserved.
