General Terms and Conditions for Memberships1. ScopeThese General Terms and Conditions, hereinafter referred to as the “Terms and Conditions”, apply to all memberships, coaching offers and related services provided by PG Health Management GmbH, Brunaustrasse 24a, 8345 Adetswil, Switzerland, hereinafter referred to as “PGHM” or the “Provider”.
By taking out a membership or using the corresponding services, the customer, hereinafter referred to as the “Member”, agrees to these Terms and Conditions.
These Terms and Conditions apply in particular to the following memberships:
Private BasicPrivate PlusPrivate PremiumThey also apply to other comparable membership, prevention and coaching offers provided by PGHM, unless otherwise agreed in writing.
2. Scope of ServicesPGHM offers various health, prevention and coaching services. These services may be provided digitally, in person or as a combination of digital and personal services.
The exact scope of services depends on the membership selected and is defined in particular by:
the offer description on the website,the description within the PGHM Active App,an individual quotation,the booking or contract confirmation,or another written agreement between PGHM and the Member.Depending on the membership, the services may include in particular:
access to the PGHM Active App,training plans and health-related guidance,progress overviews,personal check-ins,training and health planning,advice relating to exercise, nutrition, sleep, recovery and everyday routines,personal appointments,assessments and evaluations,use of the Human Energy System,and a wristband, tracker or other technical device included in the selected offer.PGHM provides preventive, health-promoting and coordinating services. The services do not replace a medical diagnosis, medical examination or medical treatment.
3. Credit Points and Service CreditsWhere a membership includes monthly credit points or comparable service credits, these are made available to the Member in accordance with the relevant offer description.
Credit points may only be redeemed during the respective billing month for the services for which they are intended.
Unused credit points expire at the end of the respective billing month.
Unused credit points may not:
be carried over to a later month,be paid out,be offset against other services,be transferred to another person,or be redeemed retrospectively after the membership has ended.The expiry of unused credit points does not affect either the membership fee owed or the agreed contract term.
The Member is responsible for using available credit points and included appointments within the applicable period.
4. Conclusion and Commencement of the ContractThe contract is concluded as soon as the Member:
books a membership on a binding basis,accepts a quotation or contract confirmation,makes the first payment due,or begins using the membership with the consent of PGHM.The exact start date of the contract is set out in the booking confirmation, quotation, invoice or other written contract confirmation.
A contractual period generally lasts three months.
5. Minimum Contract TermEach membership is concluded for a binding minimum term of three months.
The membership may not be terminated ordinarily before the end of this three-month minimum term.
The full membership fee for the three-month contractual period remains payable regardless of whether the Member:
uses all services,attends individual appointments,redeems credit points,regularly uses the app,or no longer wishes to actively use the membership during the current contractual period.Splitting the total amount into several invoices constitutes a payment arrangement only and does not alter the three-month contractual commitment.
6. Automatic Contract RenewalAfter the initial three-month contractual period, the membership automatically renews for further periods of three months unless it is terminated on time.
Each renewal period also lasts three months.
By taking out the membership, the Member expressly agrees that the contract will automatically renew for further periods of three months unless notice of termination is given within the required period.
The full membership fee applicable at that time is payable for each new contractual period.
7. TerminationThe membership may be terminated by giving 30 calendar days’ notice to the end of the respective three-month contractual period.
Notice of termination must be received by PGHM no later than 30 calendar days before the end of the current contractual period.
The date on which PGHM receives the termination notice is decisive, not the date on which it was sent.
If notice is not given on time, the membership automatically renews for a further contractual period of three months.
The full membership fee is payable for the renewed contractual period.
Notice of termination must be given in text form. It may be submitted in particular by email or in writing by post.

PGHM will generally confirm receipt of the termination notice by email.
The Member is responsible for retaining the termination confirmation and contacting PGHM if no confirmation is received within a reasonable period.
8. PricesThe applicable prices are set out in:
the website,the PGHM Active App,an individual quotation,the invoice,or the booking or contract confirmation.All prices are stated in Swiss francs and include the legally applicable value added tax unless expressly stated otherwise.
The agreed price applies to each three-month contractual period.
PGHM is entitled to adjust prices for future contractual periods. The Member will be informed of material price changes before the start of the next contractual period.
Contractual periods that have already commenced are not affected by later price changes.
If the Member does not object to an announced price change by terminating the membership within the applicable notice period, the new price applies from the start of the next contractual period.
9. Payment OptionsThe Member may generally pay the amount due for the respective three-month contractual period using one of the following payment options.
9.1 Full Payment for Three MonthsThe full amount for the three-month contractual period is paid in advance in a single invoice or payment.
No additional administration fee is charged for this payment option.
9.2 Payment in Three Monthly InvoicesAt the Member’s request, the total amount for the three-month contractual period may be divided into three separate monthly invoices.
An administration fee of CHF 10.– is charged for each additional invoice compared with a single total invoice.
Where payment is divided into three monthly invoices, two additional invoices are issued.
The total administration fee therefore amounts to CHF 20.– per three-month contractual period.
The administration fee is charged in addition to the regular membership fee.
Dividing the total amount into three invoices does not change:
the three-month contract term,the minimum contract term,the notice period,or the obligation to pay the full amount for the entire contractual period.Even in the event of termination or non-use of the services, the full amount for the contractual period already commenced remains payable.
The selected payment option generally applies for the respective contractual period.
Any change to the payment option must be agreed with PGHM before the start of the next contractual period.
10. Invoicing and Payment TermsPayment is made in accordance with the invoice issued, the booking confirmation or the payment system used by PGHM.
Invoices must be paid within the payment period stated on the invoice.
Where an automatic credit card charge or another automatic payment method is used, the Member is responsible for ensuring that:
the payment details provided are up to date,the payment method is valid,and sufficient funds are available.A failed payment does not terminate the contract or remove the obligation to pay.
11. Late PaymentIn the event of an overdue invoice, failed transaction or other payment default, PGHM is entitled to:
temporarily suspend access to the PGHM Active App,suspend personal appointments,withhold evaluations or advisory services,temporarily discontinue further services,charge reasonable reminder fees,and transfer outstanding claims to a debt collection agency.Suspending or restricting the services:
does not terminate the contract,does not interrupt the contract term,does not extend the termination period,and does not release the Member from the payment obligation.PGHM may make reactivation of the services conditional upon full settlement of all outstanding amounts.
12. Wristband, Tracker and Technical DevicesWhere a wristband, tracker or another technical device is included in the selected membership, it will be sent to the Member after receipt of the first payment due.
The device will be sent to the delivery address provided by the Member.
The Member is responsible for providing PGHM with a complete and correct delivery address.
Upon dispatch or handover, ownership of the wristband or technical device passes to the Member.
The device is expressly not provided on a loan basis.
The device does not need to be returned to PGHM when the membership ends.
The wristband or device remains the property of the Member after termination of the membership.
The wristband will only be dispatched once the first payment due has been received.
Where payment is made in three monthly invoices, the wristband will be dispatched after receipt of the first monthly payment and any associated fees.
Loss or DamageFrom the time of receipt, the Member is responsible for the careful use, storage and maintenance of the wristband.
In the event of:
loss,theft,damage,improper use,or ordinary wear and tear,the Member is generally not entitled to a free replacement from PGHM.
A replacement device may be purchased separately, subject to availability and separate invoicing.
Statutory warranty rights relating to defects already present at the time of delivery remain unaffected.
Technical RequirementsUse of the wristband or device may require in particular:
a compatible smartphone,a compatible app,an active internet connection,Bluetooth,regular synchronisation,a user account with an external technology provider,and acceptance of additional terms of use or data protection provisions.The Member is responsible for providing a compatible smartphone and a functioning internet connection.
Use After the End of the ContractThe wristband remains the property of the Member after the membership ends.
However, access to certain:
app functions,evaluations,dashboards,recommendations,analysis functions,or personal support servicesmay be restricted or terminated when the membership ends.
Ownership of the wristband does not create any entitlement to permanent or free use of all digital systems and services provided by PGHM.
Measurement DataMeasurements collected by the wristband or other technical devices are intended for orientation, prevention and personal health support.
They do not constitute a medical diagnosis and do not replace a medical examination or treatment.
13. Shipping and Delivery TimesPGHM endeavours to deliver wristbands and other included devices promptly.
Any delivery times stated are generally non-binding unless a binding delivery date has expressly been confirmed in writing.
Delivery delays caused by:
supply shortages,manufacturer delays,issues involving shipping providers,force majeure,or other circumstances beyond the control of PGHMdo not automatically entitle the Member to early termination of the contract or compensation.
If delivery is not possible for an extended period, PGHM will inform the Member and, where possible, offer an appropriate solution.
14. Personal AppointmentsWhere personal appointments are included in a membership, they must be used within the applicable contract, billing or service period.
Appointments are arranged subject to availability and in consultation with PGHM or the responsible specialist.
The Member is not entitled to a specific day of the week, time or specialist unless this has been expressly agreed in writing.
Appointment CancellationsIf an agreed appointment cannot be attended, it must be cancelled or rescheduled as early as possible.
Unless otherwise stated in the offer description or appointment confirmation, cancellations must be made at least 24 hours before the scheduled appointment.
In the event of:
a late cancellation,failure to attend,or a substantial delay,the appointment may be considered used.
The corresponding appointment or related credit may expire.
There is no entitlement to a free replacement appointment.
15. Use of ServicesAccess to membership services, digital content, app functions, evaluations and personal consultations is personal to the Member.
The services may not be shared with or transferred to third parties without the consent of PGHM.
In particular, the following may not be shared or transferred:
personal login details,individual training plans,health plans,evaluations,credit points,personal appointments,video and app content,or internal documents and templates.The Member is required to protect login details carefully.
Any suspected misuse or unauthorised access must be reported to PGHM without delay.
In the event of misuse, PGHM is entitled to:
temporarily suspend access,restrict individual services,or terminate the contract with immediate effect for good cause.Amounts already due remain payable in such cases.
16. Member’s Duty to CooperateThe Member undertakes to provide PGHM with complete and truthful information relevant to the provision of services.
This includes in particular information relating to:
health complaints,existing injuries,physical limitations,medical recommendations,ongoing medical treatment,relevant medication,pregnancy,and changes in health status.The Member must inform PGHM of new or changed complaints where these may be relevant to the provision of services.
The Member is responsible for carrying out only those exercises, training measures and everyday recommendations that are appropriate for the Member’s health condition.
In the event of:
pain,dizziness,shortness of breath,discomfort,unusual physical reactions,or a worsening of existing complaints,the activity must be stopped immediately.
Where necessary, a physician or another suitable medical professional should be consulted.
17. Changes to the Scope of ServicesPGHM is entitled to adjust content, processes, digital functions, systems, devices, specialists or individual components of the services, provided that the essential purpose of the membership is not significantly impaired.
Adjustments may be required in particular due to:
technical developments,changes involving software or device providers,organisational changes,staff changes,professional or methodological developments,legal requirements,or safety and data protection requirements.There is no entitlement to permanent availability of a particular function, specialist, technical platform or device version unless expressly agreed otherwise.
The Member will be informed of material changes in good time.
18. Suspension for Health ReasonsA temporary interruption or suspension of the membership is only possible following a prior written agreement with PGHM.
In the event of a prolonged, medically confirmed inability to participate in training or support services, PGHM may, upon written request, consider whether:
the membership may be temporarily suspended,the contractual period may be extended,or another individual solution may be agreed.There is no automatic entitlement to:
suspension,extension of the contract,reimbursement,waiver of outstanding payments,or early termination of the contract.Any goodwill decision by PGHM does not establish an entitlement in future or comparable cases.
19. Liability and Health ResponsibilityThe services provided by PGHM are intended in particular for prevention, health promotion, everyday structure, exercise and personal support.
They do not replace:
a medical examination,a medical diagnosis,medical treatment,psychotherapy,physiotherapy,or any other medical treatment by a specialist.Participation and independent implementation of recommendations are at the Member’s own responsibility.
To the extent permitted by law, PGHM is not liable for injuries, health problems or consequential damages arising in particular from:
incomplete or incorrect information provided by the Member,failure to disclose health conditions,improper implementation of recommendations,ignoring physical warning signs,use contrary to medical recommendations,independent changes to training plans,or excessive physical strain.If there are health concerns, a medical assessment is recommended before the membership begins or before individual measures are implemented.
PGHM does not guarantee that the membership will result in:
a particular health outcome,weight change,a specific improvement in performance,freedom from symptoms,or achievement of a particular training objective.Success depends in particular on the Member’s individual starting position, regular implementation, cooperation and other personal factors.
Mandatory statutory liability provisions remain unaffected.
20. Availability of Digital SystemsPGHM endeavours to ensure the most uninterrupted availability possible of the PGHM Active App and the digital systems used.
However, uninterrupted and completely error-free availability cannot be guaranteed.
Temporary interruptions may occur in particular due to:
maintenance work,technical faults,updates,disruptions involving third-party providers,internet or server outages,security measures,or force majeure.Temporary technical interruptions generally do not entitle the Member to:
reimbursement,a price reduction,an extension of the contract,or early termination,provided that the essential benefit of the membership is not permanently and significantly impaired.
21. Data Protection and Health DataPGHM processes personal data in accordance with the applicable data protection regulations.
Certain memberships may involve the processing of sensitive personal data.
This may include in particular:
health data,activity data,sleep data,stress data,recovery data,body measurements,training data,information relating to health complaints,and information disclosed during personal consultations.The data is processed to the extent required for the performance, support, evaluation and further development of the agreed services.

Where external apps, devices, platforms, payment providers or technology partners are used, their additional terms of use and data protection provisions may also apply.
The Member is responsible for reviewing the relevant information and terms.
22. Copyright and ContentAll content provided by PGHM is protected by copyright or other intellectual property rights.
This includes in particular:
training plans,nutrition plans,health plans,videos,texts,graphics,templates,questionnaires,analyses,evaluations,concepts,app content,and training materials.This content may only be used for the Member’s personal use.
Without the prior written consent of PGHM, the content may not be:
reproduced,published,sold,used commercially,made publicly available,or shared with third parties.
23. Transfer of ContractThe membership is personal and non-transferable.
Transfer to another person or joint use is excluded.
The following in particular may not be transferred:
credit points,personal appointments,login details,app access,training plans,advisory services,or other included services.Exceptions are only permitted with the prior written consent of PGHM.
The wristband, which has already passed into the ownership of the Member, is not affected by this provision.
24. Early Termination by PGHMPGHM may terminate the contract with immediate effect for good cause.
Good cause includes in particular:
serious or repeated misuse of the services,sharing personal access details,repeated late payment,intentionally providing false information,disrespectful, offensive or unreasonable conduct towards employees, specialists or other Members,endangering other persons,misuse of digital systems,or a serious breach of these Terms and Conditions.Services already provided and outstanding amounts remain payable.
Where immediate termination has been caused by the Member, amounts already paid are generally not refunded.
Mandatory statutory claims remain unaffected.
25. Amendments to the Terms and ConditionsPGHM is entitled to amend these Terms and Conditions for future contractual periods.
The Member will be informed of material amendments before the start of the next contractual period.
The amended Terms and Conditions generally apply from the beginning of the following contractual period.
If the Member does not agree with a material amendment, the membership may be terminated at the end of the current contractual period subject to the ordinary notice period.
26. Final ProvisionsIf individual provisions of these Terms and Conditions are wholly or partly invalid or unenforceable, the validity of the remaining provisions remains unaffected.
The invalid or unenforceable provision will be replaced by a legally permissible provision that comes as close as possible to the economic and legal purpose of the original provision.
Individual agreements between PGHM and the Member take precedence over these Terms and Conditions, provided that they have been recorded in writing or in text form.
27. Applicable Law and Place of JurisdictionSwiss law applies exclusively.
Disputes are subject to the courts having jurisdiction under Swiss law.
To the extent that an agreement on jurisdiction is legally permitted, the registered office of PG Health Management GmbH is the place of jurisdiction.
Mandatory statutory places of jurisdiction, in particular those intended to protect consumers, remain expressly reserved.
